Blue Elite Concepts LLC Terms of Service

Effective Date: February 01, 2026

These Terms of Service (“Terms”) govern the delivery of management consulting services by Blue Elite Concepts LLC (“Consultant”) to the client (“Client”). By engaging our services, the Client agrees to be bound by these Terms.

1. Scope of Services

Services Provided: Consultant will perform the strategic, operational, or administrative services detailed in a separate Statement of Work (SOW) or Proposal.

Deliverable: Specific reports, frameworks, or outcomes will be provided according to the time lines established in the SOW.

Scope Changes: Any modifications to the project scope must be agreed upon in writing and may result in adjusted fees or time lines.

2. Fees and Payment

Payment Terms: Fees are structured as [Hourly Rates/Fixed Fee/Retainer] as specified in the SOW.

Invoicing: Invoices are issued [Monthly/Upon Milestone] and are due within 30 days of receipt.

Late Payments: Late payments may incur interest at a rate of 1.5 % per month.

Reimbursable Expenses: Client shall reimburse the Consultant for pre-approved project-related expenses, such as travel or software licenses.

3. Intellectual Property (IP)

Client Ownership: Upon full payment, the Client typically owns the final deliverables created specifically for them.

Consultant Property: Consultant retains ownership of its pre-existing methodologies, frameworks, and proprietary tools used to deliver the services.

4. Confidentiality

Mutual Obligation: Both parties agree to protect the other’s proprietary business data, trade secrets, and internal strategies.

Duration: This obligation survives the termination of the engagement for a period of  3 years.

5. Professional Standard and Liability

Standard of Care: Consultant will perform services with the level of skill and care standard in the management consulting industry.

Limitation of Liability: To the maximum extent permitted by law, Consultant’s total liability is limited to the total fees paid by the Client for the specific service giving rise to the claim.

Warranties: Services are provided on an “as-is” basis without guarantees of specific financial outcomes or ROI.

6. Termination

For Convenience: Either party may terminate the agreement with [Number] days’ written notice.

For Cause: Either party may terminate immediately if the other party breaches a material term of this agreement.

Final Payment: Upon termination, Client shall pay for all services performed and expenses incurred up to the termination date.

7. Independent Contractor Status

Relationship: Consultant is an independent contractor, not an employee or partner of the Client.

Personnel: Consultant has the sole right to direct the manner and method by which services are performed.

8. Governing Law and Dispute Resolution

Governing Law: These Terms are governed by the laws of the State/Country of Arizona Maricopa, USA

Dispute Resolution: Any disputes shall first be attempted to be resolved via Mediation/Arbitration]before pursuing litigation in court.
